On 27 April 2018, NeuroSearch A/S ("NeuroSearch") received a notice from Gefion Group Investments A/S ("Gefion") that Gefion had decided to launch a conditional, voluntary takeover offer to the shareholders of NeuroSearch to acquire the entire share capital of NeuroSearch (excluding any treasury shares), as made public by company announcement no. 6 on 27 April 2018 (the "Offer").

Considering the Offer, the directors of NeuroSearch are prepared to be re-elected on NeuroSearch's annual general meeting to be held today 30 April 2018 with a view to clarify and, if relevant, complete the process of the Offer.
